Terms and Conditions

Our services are intended for lawful purposes only. You agree not to use our services for any illegal or unauthorized activities.

You must be at least 18 years old and able to form a binding contract to use our paid services. You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of your account credentials, and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

Fees for our products and services are described at the point of purchase. By providing a payment method, you authorize West TN Consulting (and its payment processors) to charge all fees, applicable taxes, and any recurring charges to that method.

Subscriptions renew automatically for successive periods of the same length until you cancel, and each renewal is charged to your payment method at the then-current rate. We may change fees prospectively; where required, we will give you advance notice, and continued use after the change takes effect constitutes acceptance. Failed or reversed payments may result in suspension of the affected services.

All sales are final. Except where required by applicable law, fees are non-refundable, and we do not issue refunds unless West TN Consulting has materially failed to deliver the services described in these Terms or the applicable order or statement of work.

Product returns and exchanges (for physical or packaged goods) are handled on a case-by-case basis. To request one, email [email protected] describing your order and the issue; we will work with you individually to reach a fair resolution.

You may cancel a subscription at any time; cancellation stops future renewals, and your access continues through the end of the period you have already paid for. Cancelling does not entitle you to a refund of fees already charged.

You agree not to: (a) use the services in violation of any law or third-party right; (b) attempt to gain unauthorized access to our systems or another user's data; (c) reverse engineer, scrape, resell, or create derivative products from our services except as expressly permitted; (d) transmit malware or interfere with the operation of the services; or (e) use the services to send unlawful, infringing, or abusive content. We may investigate and take appropriate action, including suspension, for any suspected violation.

We may record phone calls with our company, retain email communications, and record webinars or similar events we host. We may also collect feedback and survey responses. By contacting us or participating in our webinars, events, or surveys, you consent to these recordings and collections where permitted by law.

All content and materials on our website are the intellectual property of West TN Consulting or our licensors. You may not reproduce, distribute, or create derivative works from our content without our express written permission.

To the fullest extent permitted by law, our websites, products, and services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the services will be uninterrupted, error-free, or secure, or that any particular result (including cost savings or grant awards) will be achieved.

To the fullest extent permitted by law, West TN Consulting and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of our services, even if advised of the possibility of such damages. Our total aggregate liability for any claim arising out of or relating to the services will not exceed the amount you paid to West TN Consulting for the specific service giving rise to the claim during the twelve (12) months preceding the event.

You agree to indemnify, defend, and hold harmless West TN Consulting and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the services, your violation of these Terms, or your violation of any law or third-party right.

Please read this section carefully — it affects your legal rights. Except for claims that may be brought in small-claims court, any dispute arising out of or relating to these Terms or our services will be resolved by final and binding individual arbitration administered under the rules of a recognized arbitration provider, seated in Tennessee, rather than in court.

You and West TN Consulting waive the right to a jury trial and agree that claims may be brought only in an individual capacity, not as a plaintiff or class member in any class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims.

You may opt out of this arbitration agreement by emailing [email protected] within 30 days of first accepting these Terms. If any portion of this section is found unenforceable, the remainder will continue to apply.

These terms and conditions are governed by the laws of the State of Tennessee, without regard to its conflict-of-laws rules. Subject to the Binding Arbitration and Class Action Waiver section above, any dispute not subject to arbitration will be resolved exclusively in the state or federal courts located in Tennessee, and you consent to their jurisdiction.

We may suspend or terminate your access to the services, in whole or in part, at any time and without liability, if you breach these Terms, create risk or legal exposure for us, or as necessary to comply with law. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution — will survive.

We may update these terms and conditions from time to time. Any changes will be posted on this page with an updated revision date.
